Definitions

Dentli’ refers to Dentli ApS, VAT No. DK38102559. ‘Client’ refers to the individual or organization entering into this Agreement with Dentli. ‘Services’ refer to the Dentli TV digital signage solution (Premium or Base license)

Functions

The Trustbuilder license gives access to the following functionality:

  1. Automated send-out to patients
  2. Send-out by either SMS or email/or both
  3. Integration to multiple rating-platforms eg. Google, Facebook etc.
  4. Dynamic routing of patient response
  5. Flexible interval of patient send-out
  6. Patient satisfaction – measured per practitioner.
  7. Customizable questionnaires
  8. Dentli support included

Terms

  1. By entering into this agreement, the Client agrees to Dentli’s data processing agreement.
  2. If the Client’s Practice Management System has an API that provides access to the data Dentli needs to run Trustbuilder, this API access will be used.
  3. If the Client’s Practice Management System does not have a functional API, installation of “Dentli Bridge” software (hereafter “Bridge”) on the server that houses the Client’s Practice Management System will be necessary. The operation of this installation is secured via Dentli’s own remote access in the form of Connectwise Control, and by accepting this agreement, the Client also accepts that Dentli installs Bridge on the Client’s server, as well as installs and creates remote access via Connectwise Control in order to maintain the Bridge. In connection to Connectwise, the Client must provide a Windows login to server with appropriate user rights for Dentli to be able to run maintenance on Bridge

Specific to Dental Suite Practice Management System users

In order for Dentli to receive and process data, installation of Plandents “Data Delivery Service” (hereinafter “DDS”) on the Client’s Dental Suite server is required. The operation of this DDS installation is secured via Plandent’s remote access in the form of Datto Remote Monitoring Management (hereinafter “Datto”) tool, and by accepting this agreement, the Client at the same time accepts that Plandent installs DDS on the Client’s Dental Suite server, as well as installs and creates remote access via Datto in order to maintain DDS. Remote access to Datto is exclusively used for maintenance of DDS.

Conditions

  1. The Agreement is valid on a month-to-month basis, with each renewal constituting a new contract period.
  2. The agreement may be terminated by either party with a 30-day notice, effective at the conclusion of the subsequent month.

Prices

All prices are excl. VAT.

Additional prices:

SMS gateway usage may incur charges where applicable. We reserve the right to adjust pricing in response to market fluctuations.

Payment terms

  1. Payment is scheduled monthly from the date of purchase.
  2. Signup-fee (if applicable) is paid immediately when the order is placed.
  3. Accepted payment methods are with credit/debit cards unless Dentli and the client have explicitly mutually agreed on a different payment method, such as bank transfer.
  4. Upon subscription renewal, payments are charged automatically using the card registered on your account.
    1. It is the client’s responsibility to keep the credit card information up-to-date.
  5. Dentli reserves the right to put the client’s license on hold if multiple attempts to charge the credit/debit card on file have failed
    1. The client will not be reimbursed or credited for any time the license was put on hold.

Governing Law and Jurisdiction

  1. All rights, including ownership, copyright, trademark and any other right to the systems, concepts and content provided by one of the parties, including the products, services, programs, program codes, program documentation, business concepts, content libraries, registered information, etc. developed by the parties, belongs to the person concerned. Dentli undertakes to treat all Customers’s information and data confidentially.
  2. This agreement is subject to Danish law.
  3. Any dispute must be brought before the Copenhagen City Court.
  4. All intellectual property rights relating to Dentli’s products and services remain with Dentli. Any content uploaded by Client remains the property of Client, and Client warrants that it has the legal right to use, display, and distribute such content.

Disclaimer

Dentli provides the Service ‘as is’ and makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Dentli does not guarantee uninterrupted or error-free operation of the Service.

Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, or consequential damages, including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Data protection and privacy

Dentli will process any personal data in accordance with applicable data protection laws and regulations, including GDPR. Please refer to our Privacy Policy for more details.

By agreeing to these terms, the Client also agrees to Dentli’s Data Processing Agreement (DPA).

Right to modify terms

Dentli reserves the right to change or modify these Terms at any time. Any changes will be effective upon posting the updated Terms on our website (this page) or upon notification to the Client by email.
